Terms of Service

These terms are the agreement between you and Vanguard Initiative Co., Ltd. for the use of Vanguard AI. They cover what you may do with the services, how credits and payment work, what we promise, and what we do not. Please read the acceptable use and AI limitations sections in particular — they carry the obligations most likely to affect you.

1. This agreement

Vanguard AI is operated by Vanguard Initiative Co., Ltd., a company registered in the Lao People’s Democratic Republic under registration number REGISTRATION_NUMBER, with its registered office at REGISTERED_ADDRESS ("we", "us", "our").

These Terms of Service ("Terms") apply when you create an account, call our API, or otherwise use https://ai.vanguardinitiative.com, our desktop application, or any service we provide through them (together, the "Services").

By creating an account or using the Services you accept these Terms and our Privacy Policy. If you are accepting on behalf of a company or other organisation, you confirm that you have authority to bind it, and "you" means that organisation.

If you do not accept these Terms, do not use the Services.

2. Definitions

  • Services — the Vanguard AI platform, including document OCR, speech to text, text to speech, chat, Voice Live, AI CMO, Agent Builder, Projects, the public API and the desktop application.
  • Account — your individual login. Every Account belongs to an Organisation.
  • Organisation — the tenant that owns the credit balance, the API keys and the data created under it. You may be its only member.
  • Credits — the prepaid unit of account used to pay for the Services.
  • Input — anything you send to the Services: text, prompts, files, audio, images, video frames, URLs and configuration.
  • Output — anything the Services return to you in response to Input.
  • API Key — a credential issued to your Organisation that authenticates calls to our API.

3. Eligibility and accounts

You must be at least MIN_AGE years old and legally able to enter into a contract to hold an Account. The Services are not directed at children.

You agree to give accurate registration details and keep them current. You are responsible for everything that happens under your Account and under your Organisation, including the acts of anyone you give access to.

Keep your password and API Keys secret. Tell us promptly at SUPPORT_EMAIL if you believe either has been exposed. We are not liable for loss arising from your failure to keep credentials secure.

4. The Services

The Services are a set of AI utilities billed from a single credit balance. The catalog and its current credit prices are shown in the application and returned by our API; they are the authoritative source, and this document does not repeat them.

  • Document OCR — extracts structured data from images and PDFs of documents, including identity and payment documents.
  • Speech to Text — transcribes uploaded audio and video into timestamped segments, with an optional generated summary.
  • Text to Speech — synthesises speech from text you supply.
  • Chat — a multi-model chat interface that can also search the web, fetch URLs, generate images and produce documents and spreadsheets.
  • Voice Live — a real-time spoken conversation with an AI assistant, optionally with camera vision. Read the third-party services section before you use it.
  • AI CMO — marketing agents that crawl a website you nominate, identify competitors and produce strategy documents and recommendations.
  • Agent Builder — lets you define your own agents, prompts, skills and capabilities and invoke them through the API.
  • Projects — groups files and runs so they can share context.
  • Desktop application — a downloadable client covered by the desktop section below.

We may add, change, suspend or withdraw any part of the Services. Where a change materially reduces functionality you are actively using, we will give notice under the changes section.

5. Credits, plans and payment

The Services are prepaid. You buy Credits, and each call spends Credits at the rate shown for that service at the time of the call. Prices are quoted in Lao kip (LAK).

Your balance is made up of two kinds of Credits, and they behave differently:

  • Purchased Credits — Credits you have paid for. They do not expire.
  • Granted Credits — Credits we give you, for example on the free tier. They expire on the date shown in your account, and expired Credits are not restored.

Separately from your balance, your plan applies usage limits: a rate limit on requests, and daily and monthly caps on Credits spent. Reaching a cap stops further calls until the window resets, even if you still hold Credits.

Where we have agreed postpaid billing with you, your balance may go below zero during a period and we will invoice you for the period afterwards. Invoices are payable by the date stated on them. We may suspend the Services for unpaid invoices.

Plan tiers, credit package sizes and per-service prices change from time to time. What applies to you is what is shown in your account and in our API at the moment of the call, not any figure quoted in marketing material.

6. Refunds and expiry

Credits are non-refundable except where refund is required by applicable law, or where we agree to a refund at our discretion — for example where a service fault consumed Credits without returning a usable result.

Where a call fails because of a fault on our side, we return the Credits reserved for it to your balance. This is the ordinary remedy for a failed call.

Granted Credits expire as described above. Purchased Credits remain available while your Account is open. On termination, unused Credits are forfeited unless the law requires otherwise.

7. API keys

API Keys are shown once at creation and stored by us only as a hash. We cannot recover a lost key; create a new one and revoke the old.

Calls made with your API Key are treated as made by you and are billed to your Organisation. You may set per-key limits and revoke a key at any time. Do not embed an API Key in client-side code, a mobile application or a public repository.

8. Acceptable use

You are responsible for your Input and for how you use Output. You must not use the Services to do any of the following, and you must not permit anyone else to.

Unlawful and harmful content. Break any applicable law; infringe intellectual property, privacy or publicity rights; create or distribute child sexual abuse material; produce content that harasses, defames, or incites violence or hatred; create sexual content depicting real people without their consent.

Identity and payment documents. Submit a passport, national identity card, family book, driving licence, bank card or business registration certificate that is not yours, unless you have a lawful basis and the document holder’s authority to process it. Do not use OCR to build a database of identity documents about people who have not agreed to it.

Recording other people. Use Voice Live to capture the voice or image of anyone who has not consented to being recorded and processed, or use the desktop screen capture feature on material you are not entitled to disclose to a third party — including another party’s confidential information on your screen.

Crawling. Point AI CMO, web search or URL fetching at a website you do not own or lack permission to crawl, or use them to circumvent a paywall, a robots directive or an access control.

Security and integrity. Probe, scan or test the security of the Services without our prior written permission; interfere with or overload the Services; circumvent rate limits, usage caps, entitlements or billing; use automated means to create Accounts or claim free Credits repeatedly.

Misuse of Output. Present Output as human-authored where doing so would mislead in a way that causes harm; use Output to make an automated decision about a person that has a legal or similarly significant effect on them without meaningful human review; use the Services for biometric identification or surveillance of individuals.

Resale and extraction. Resell raw access to the underlying models, or use the Services to develop a competing model or service, including by extracting Output for training.

We may investigate suspected breaches and may remove content, suspend a key, or suspend or terminate an Account. Where we can, we will tell you why.

9. Your Input and Output

You keep all rights you already have in your Input. We do not claim ownership of it.

You grant us a non-exclusive, worldwide, royalty-free licence to host, store, transmit, adapt and process your Input and Output solely to operate, secure and support the Services for you — including transmitting Input to the model providers named in our Privacy Policy so they can produce Output. This licence lasts only as long as we hold the relevant data.

As between you and us, you own the Output generated from your Input, to the extent it is capable of ownership. We do not use your Input or Output to train our own models.

Output is not unique. The Services may generate identical or similar Output for other customers from similar Input, and those customers own their Output in the same way. You cannot claim exclusivity over Output on the basis of these Terms.

You confirm that you have the rights necessary to submit your Input and to allow the processing described above, and that doing so does not breach any law or any duty you owe to a third party.

10. AI output: accuracy and reliance

The Services are built on statistical models. Output can be incorrect, incomplete, biased, out of date, or entirely fabricated while appearing confident. This is a property of the technology, not a defect we can remove.

Specific limitations you should assume:

  • OCR of an identity document, bank card or registration certificate can misread characters, transpose digits or return a field that looks plausible but is wrong. Verify against the original before relying on it.
  • Transcription can mishear speech, misattribute a speaker, and produce a summary that omits or distorts what was said.
  • Chat and agent Output, including citations, quotations, figures and URLs, may be invented. Web search and URL fetching return third-party content we do not control or verify.
  • AI CMO analysis is a machine-generated opinion about a website, not professional marketing, legal or financial advice.

You must apply meaningful human review before using Output for any decision that affects a person’s rights, safety, health, finances, employment or legal position. The Services are not a substitute for professional advice, and are not designed or certified for medical, legal, financial, safety-critical, or identity-verification decision-making.

You are responsible for deciding whether Output is fit for your purpose, and for the consequences of using it.

11. Third-party services

The Services depend on third parties, and some of your Input reaches them. The current list, with what each receives, is in our Privacy Policy.

Voice Live connects your browser directly to Google. When you start a Voice Live session, your device opens a connection to Google’s Gemini Live service using a short-lived token we issue, and streams your microphone audio — and camera images if you turn the camera on — straight to Google. On that leg the media does not pass through our servers, and Google’s own terms and privacy notice apply to it alongside ours.

Playing music in Voice Live loads an embedded YouTube player into the page, which is operated by Google and subject to YouTube’s terms.

If you configure your own storage bucket, you are responsible for that bucket, its access controls and its costs. We are not responsible for a third-party service you connect, for its availability, or for content you direct us to fetch from it.

12. Desktop application

We grant you a personal, non-exclusive, non-transferable, revocable licence to install and use the desktop application to access the Services. You may not reverse engineer, decompile or redistribute it except where that restriction is unenforceable by law.

The application updates itself automatically so that security fixes reach you. Continued use after an update means you accept the updated version.

  • The screen capture feature captures whatever is displayed on the screen region you select, including content belonging to other applications and other parties. You choose when to trigger it and what to select, and you are responsible for that choice. Captured text is written to your system clipboard.
  • The application keeps a local cache of API responses on your device so it can work offline. This cache is not encrypted and includes account details and conversation contents. Protect it with your operating system’s own disk encryption and account controls.

13. Availability, previews and changes

We aim to keep the Services available but do not commit to any service level, uptime percentage or support response time under these Terms unless we have signed a separate agreement with you that says otherwise. The Services may be interrupted for maintenance, for a third-party outage, or for reasons outside our control.

Some features are offered as previews and may be changed or withdrawn without notice. A feature being switched on for your Account — including during a period when we have enabled functionality broadly for testing — does not create a contractual entitlement to it and does not mean it is included in your plan.

14. Suspension and termination

You may stop using the Services at any time and ask us to close your Account by writing to SUPPORT_EMAIL.

We may suspend or terminate your Account or a specific key, with immediate effect where necessary, if you breach these Terms, if an invoice is unpaid, if your use exposes us or a third party to legal risk or security risk, or if we are required to by law. Where the circumstances allow, we will warn you first and give you a chance to put it right.

On termination your right to use the Services ends. We will keep your data for a reasonable period so you can export it, then delete it in line with our Privacy Policy, unless we must retain it by law. Sections that by their nature should survive — including content licences already granted, disclaimers, liability limits, indemnity and governing law — survive termination.

15. Disclaimers

To the fullest extent permitted by law, the Services are provided "as is" and "as available", and we exclude all warranties, conditions and representations not expressly stated in these Terms — including implied warranties of merchantability, satisfactory quality, fitness for a particular purpose, non-infringement, and any warranty that the Services will be uninterrupted, secure, error-free, or that Output will be accurate.

Nothing in these Terms excludes any liability that cannot lawfully be excluded, and nothing limits your rights as a consumer where consumer law applies to you.

16. Limitation of liability

To the fullest extent permitted by law, neither party is liable for indirect, incidental, special, consequential or punitive damages, or for loss of profits, revenue, goodwill, business opportunity, or loss or corruption of data, however caused.

Our total aggregate liability arising out of or in connection with these Terms and the Services is limited to the greater of the total amounts you paid us for the Services in the LIABILITY_CAP_MONTHS months immediately before the event giving rise to the claim, or the equivalent of one hundred United States dollars in Lao kip.

These limits apply to all claims taken together, whether in contract, tort, negligence or otherwise, and apply even if a limited remedy fails of its essential purpose. They do not apply to liability that cannot lawfully be limited.

17. Indemnity

You will defend and indemnify us against third-party claims, and reasonable legal costs, arising from your Input, your use of Output, your breach of these Terms — in particular the acceptable use section — or your infringement of a third party’s rights. We will tell you promptly about any such claim and let you control the defence of it, provided any settlement does not impose an obligation on us.

18. Governing law and disputes

These Terms are governed by GOVERNING_LAW, without regard to conflict of law rules.

If a dispute arises, please contact us first at LEGAL_EMAIL so we can try to resolve it directly. If we cannot, the dispute is subject to the exclusive jurisdiction of VENUE.

19. Changes to these Terms

We may update these Terms. For a material change we will give at least NOTICE_PERIOD_DAYS days’ notice by email to your Account address or by a notice in the application before it takes effect. Other changes take effect when published.

The date and version at the top of this page always identify the current text. Continuing to use the Services after a change takes effect means you accept the updated Terms; if you do not, stop using the Services and ask us to close your Account.

20. General

  • Entire agreement. These Terms and the Privacy Policy are the whole agreement between us about the Services and replace any earlier understanding.
  • Assignment. You may not assign these Terms without our written consent. We may assign them to an affiliate or in connection with a merger or sale of the business.
  • Severability. If a provision is held unenforceable, the rest stays in force and the provision is applied as closely as possible to its original intent.
  • No waiver. Not enforcing a provision on one occasion is not a waiver of it.
  • Force majeure. Neither party is liable for failure caused by events beyond its reasonable control, including network and utility failures and acts of government.
  • Notices. We will contact you at your Account email address. You should contact us at the addresses in the contact section.
  • No third-party rights. No one other than you and us may enforce these Terms.

21. Language

These Terms are published in English, Lao and Thai. The English version is the controlling text. The Lao and Thai versions are provided for convenience; if there is any inconsistency between them and the English version, the English version prevails to the extent permitted by law.
